Coach Agreement

This Coach Agreement ("Agreement") is entered into between you ("Coach" or "You") and Vonsult ("Platform", "We", or "Us"). By registering as a Coach on the Vonsult Platform, you agree to be bound by the terms of this Agreement.
1. Independent Contractor Relationship
You acknowledge and agree that your relationship with Vonsult is that of an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and Vonsult. You are solely responsible for determining your own schedule, setting your own rates (subject to Platform limits), and the method and manner of performing your services.
2. Coach Services
You agree to provide 1-on-1 video consultation services to Clients who book sessions with you through the Platform. You agree to:
- Provide services in a professional and workmanlike manner.
- Avoid deceptive, misleading, or unethical practices.
- Honor all scheduled bookings, unless a cancellation is absolutely necessary due to an emergency.
- Not solicit Clients to pay you outside of the Vonsult Platform (circumvention).
3. Fees and Payments
Platform Fee: Vonsult charges a platform fee on each transaction processed through the Service. The remainder (the "Payout") will be transferred to your connected Stripe account. The current Platform Fee percentage is available in your dashboard.
Payouts: Payouts are processed via Stripe Connect. You must maintain an active, valid Stripe Connect account to receive payments. You are responsible for any taxes associated with the income you generate through the Platform.
4. Taxes
As an independent contractor, you are solely responsible for calculating, collecting, reporting, and paying any applicable taxes, duties, or other governmental assessments resulting from your use of the Platform and the services you provide.
5. Representations and Warranties
You represent and warrant that:
- You have the legal right and authority to enter into this Agreement.
- You possess the necessary skills, qualifications, and expertise to provide the services you offer.
- The information you provide in your profile is accurate and not misleading.
6. Termination
Either party may terminate this Agreement at any time, with or without cause, by providing written notice (email suffices) or by deleting your account. Upon termination, Vonsult will pay any outstanding amounts due to you for services already performed, subject to any set-off rights we may have.
